Business Formation - Creating an LLC
Creating an LLC is the favored choice of business entity for those looking to start their small business. LLC's give owners flexibility, tax advantages, and most importantly a way to limit their personal liability. Other types of business entity types are available (ex: corporations, sole proprietorship, partnerships), however, LLC's are generally recommended. It's important to create and register your business correctly, otherwise you run the risk of having the State either reject or dissolve (end) your business soon after you get started. There are also important considerations in picking your company name. Speak with a lawyer to make sure you are not unintentionally infringing (unlawfully using) another business's Trademark, Copyright, etc. At a minimum, you will have to go through the Secretary of State, IRS, Department of Licensing, and Department of Revenue.
You also have to run your business in a certain manner, otherwise you run the risk of losing your liability protection in the event of a lawsuit. Talk to a lawyer for easy tips on how to stay legitimate and keep your protection.
Many lenders and other institutions also require your company to have an Operating Agreement. Speak to a lawyer for an Operating Agreement, as this is a very significant business document.
